The “Best of Gadgets” Contest Official Rules

1. PROGRAM DESCRIPTION:
The “Best Of Gadgets” contest (the “Contest”) invites individuals and companies (“Participants”) based in Singapore and Malaysia to submit gadgets developed by Participants and submitted at http://gallery.live.com/submit.aspx?l=1 (“Windows Live Gallery”) and subsequently re-submitted at http://www.bestofgadgets.com (“Microsite”) to be considered for the Contest.

10 will be chosen from their respective category pool of submitted gadgets during the stated submission period. The selection will be done by Microsoft Operations Pte Ltd (“Microsoft”) with the assistance of the sponsors of this competition.

Members of the public will then vote for their favorite gadget at the Microsite. Each voter will be entitled to 1 vote only with instructions found at the Microsite. The top 6 voted gadgets based on the greatest number of Unique Votes (see below for definition for “Unique Votes”) will win a prize sponsored by Microsoft. Voters who voted for the winners will also stand a chance to win a prize.

The public submission period of gadgets which will be eligible for consideration in this Contest begins at 12:00 a.m. on 16 October 2006 and ends at 11:59 p.m. on 22 April 2007 (“Submission Period”). On 23 April 2007 to 30 April 2007, 10 gadgets will be selected by Microsoft for Voters to vote for their favorite gadgets.

The 10 selected gadgets will be announced on the Microsite and voting begins at 12:00 a.m. on 1 May 2007 and ends at 11:59 p.m. on 15 May 2007 (“Voting Period”).

The winners will be announced on the Microsite from 18 May 2007 to 31 May 2007.

2. HOW TO SUBMIT AND VOTE FOR A MS GADGET:
The Contest will be accessible via the Microsite. Only gadgets already submitted at http://gallery.live.com will be considered. To submit a gadget for the Contest during the Submission Period, Participants must complete an online submission form on the Microsite. This submission form will require the Participants to identify their personal or company particulars for submission verification. Participants are allowed to submit multiple gadgets for consideration. Competition is open to Participants who are citizens, permanent residents, and companies based in Singapore and Malaysia only.

During the Voting Period, Voters will be allowed to vote online via the Microsite. Voters will be required to complete an online voting form that requires the Voters to identify their personal particulars for voting verification. Voters are allowed to vote only once. Multiple entries will be ignored with the only last vote taken as the valid vote.

3. COMPETITION MECHANICS & SCORING:
Microsoft will select 10 gadgets from the pool of submitted gadgets for the final round of voting. Only Unique Votes will be counted for the Contest. For the avoidance of doubt, a “Unique Vote” is a vote from one user with a valid personal identification number (eg. NRIC) regardless of the number of votes that originate from that user. Each Voter is entitled to have only 1 Unique Vote. Should Voters have multiple votes, only the last vote will be considered. The top 6 gadgets out of the selected 10 that garner the most number of Unique Votes will be declared the winners.

4. HOW PRIZES ARE AWARDED:
Best Of Gadgets Prize: The top 6 gadgets that garner the greatest number of Unique Votes will each win prize sponsored by Microsoft. In the event of a tie, the prize will be awarded to the Participant who scored the highest number of unique votes first. Winners will be informed by Microsoft via email or phone with details on prize collection.

Voters who voted for the top 6 gadgets will also stand a chance to win one of three prizes in a lucky draw. This draw will be conducted by Microsoft on 18 May 2007 3pm at 1 Marina Boulevard #22-01. Winners will be informed by Microsoft via email or phone with details on prize collection.

5. PRIZES:
A HP iPAQ rw6828 Multimedia Messenger will be awarded to top 6 gadgets Participants in each category. Prizes will be fulfilled by Microsoft.

6. ELIGIBILITY:
The Contest is open only to Participants or Voters who are citizens and permanent residents of Singapore and Malaysia. For Malaysia, Participants or Voters must be above the age of 18 years and for Singapore, Participants or Voters must be above the age of 21. Participants or Voters under the ages of 18 or 21 (as the case may be), must seek the consent of their parent/guardian. Consent can be provided during the registration process. Microsoft will contact the participants for proof of consent.

The employees of Microsoft and/or its Affiliates (collectively referred to as “the Microsoft Group”), and anyone working directly on any Microsoft sponsored program or event and their respective affiliates, parent companies, subsidiaries, promotion, advertising and promotional agencies and the immediate family members (parent, spouse, sibling, and child) and persons living in the households of each are not eligible to enter.

The employees of sponsors and/or its Affiliates (collectively referred to as “the Sponsors”), and anyone working directly on any Sponsors’ sponsored program or event and their respective affiliates, parent companies, subsidiaries, promotion, advertising and promotional agencies and the immediate family members (parent, spouse, sibling, and child) and persons living in the households of each are not eligible to enter.

For the avoidance of doubt, “Affiliates” means, in relation to Microsoft, any legal entity that is owned, which owns, or which is under common ownership with Microsoft Operations Pte Ltd. In relation to Sponsors, “Affiliates” means, any legal entity that is owned, which owns, or which is under common ownership with Sponsors.

7. GENERAL CONDITIONS:
No mechanically reproduced, illegible, incoherent, unusable, or incomplete entries will be accepted. The laws of Singapore govern this promotion. Acceptance of a prize constitutes permission for the Microsoft Group and its agents to use winner’s name and likeness for advertising and promotional purposes without additional compensation unless prohibited by law. To the maximum extent permitted by law, the Microsoft Group shall not be liable to the Participants and/or Voters in contract, tort or negligence or otherwise for any loss, damage, costs or expenses of any nature whatsoever incurred or suffered by the Participants and/or Voters and which is of a direct or indirect or inconsequential nature, including without limitation any economic loss or other loss, arising out of or in connection with the Contest. By entering, the Participants and/or Voters releases and holds harmless the Microsoft Group and its respective advertising and promotions agencies, prize suppliers, and all of their employees, officers, directors, shareholder’s and agents (collectively, “Releasees”) from any and all liability or any injuries, loss or damage of any kind arising from or in connection with this Contest, the use of any entry, or the acceptance or use of any prize won.
Participants and/or Voters agrees to indemnify, keep harmless and defend Microsoft and/or any member of the Microsoft Group, its employees, officers and agents from and against any and all losses, damages, costs, expenses, demands and/or liabilities arising from any breach of any of the above warranties.

No warranties in respect of the any prizes are given by Microsoft. Any and all warranties on the prizes will be provided by the respective manufacturers/suppliers of such prizes.

By entering this Contest, the Participants and/or Voters shall be deemed to have read and agrees to be bound by these terms and conditions and by the decisions of the Microsoft Group, which shall be final and binding in all respects.

8. INTERNET:
The use of any automated launching or entry software or any other mechanical or electronic means that permits the participant to automatically enter or vote repeatedly (as solely determined by Sponsor) is prohibited. If for any reason this Contest is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Microsoft Group which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, then the Microsoft Group is entitled, at its sole discretion, to disqualify any entry or any individual who tampers with the entry or voting process, and to cancel, terminate, modify or suspend the Contest and select winners using all eligible, non-suspect entries and/or votes. Releasees assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Releasees are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received on account of technical problems, human error or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to the Participant's or any other person's computer relating to or resulting from participation in this Contest or downloading any materials in this Contest. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE MICROSOFT GROUP RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON (S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

9. WHO WON:
The winners name will be published on the Microsite from 18 May 2007 to 31 May 2007

10. OTHER:
No correspondence will be entered into regarding either this competition or these Terms and Conditions. In the unlikely event of a dispute, Microsoft’s decision shall be final. Microsoft reserves the right to amend, modify, cancel or withdraw this competition at any time without notice.

11. PRIVACY
Microsoft will only use the personally identifiable information collected under the contest for the purposes of the contest (including the provision of such personally identifiable information to sponsors of the various prizes for the express purpose of contacting the prize winners regarding their prizes. Microsoft will seek the participants’ explicit consent before using such information for any other purposes. 12. USE OF GADGETS BY SPONSORS
The Participant who submitted the winning gadget agrees to Microsoft utilizing the winning gadget for commercial gain until 1st January 2009 without any further payment or remuneration.

13. SEVERABILITY
If any provision of these terms and conditions is held to be unenforceable, in whole or in part, such holding will not affect the validity of the other provisions of these terms and conditions, unless Microsoft reasonably and in good faith deems the unenforceable provision to be essential to these terms and conditions, in which case either party may terminate this agreement, effective immediately upon notice to the other party.

14. PROMOTER
